Terms and Conditions - Humphree Portal

Welcome to the Humphree AB web portal (the “Portal”). By accessing and using the Portal, you agree to be bound by these Terms and Conditions (the “T&C”). Please read these T&C carefully before using the Portal.

1. Definitions

1.1 “Humphree AB” refers to the limited liability company Humphree AB with registered address at Grimboåsen 16, 417 05 Göteborg, Sweden, and registration number 556616-7622.
1.2 “Portal” refers to the Humphree AB web portal located at https://portal.humphree.com , including all related services, features, and content.
1.4 “Customers” refer to customers of Humphree AB that may access the Portal.
1.5 “Users” refers to employees of the Customer who at any time use the Portal.


2. Use of the Portal

2.1 The Portal is intended for use by registered Customers of Humphree AB. A condition for the User to be able to use the Portal is that the User is employed and authorized by a Customer. It is the Customer who decides whom of its employees who shall be authorized to use the Portal, and Humphree takes no responsibility for any restrictions in the possibility of registering as a User or enter into a purchase as a result of the Customer’s decision. The Customer is solely responsible for any actions by User on the Portal.
2.2 The User must be eighteen (18) years old at the time of registration of user account. As long as the User has a registered user account, the User receives a non-exclusive, non-transferable and non-sub-licensable right to use the Portal. The User can deregister from the Portal at any time.
2.3 The User is responsible for providing accurate and up-to-date information when creating and managing its’ account. Any misuse, attempts to provide wrongful information or access by unauthorized users is strictly prohibited. Users are further responsible for maintaining the confidentiality of their account information, including usernames and passwords.
2.4 Users may access and use the Portal for the purposes of system management, boat model management, upgrade purchases, user management and troubleshooting Humphree products based on system data. What access level a User has depends on the role of the User on the platform, as authorized by the Customer. Further information can be found here.
2.5 Users are responsible for any data they upload, provide, change, modify or delete through the Portal and are solely responsible for their use of the service, any actions they take, and the consequences that may arise from those actions. Humphree AB is not responsible for any loss, damage, or disclosure of such data, and reserves the right to edit or modify it if necessary.
2.6 Users take full responsibility for any orders they place and invoices that will be sent after a confirmed order.
2.7 Users are responsible for ensuring that any persons they invite to use the Portal understand and comply with these T&C.
2.8 Humphree has the right to suspend a User at any time from the Portal if the Portal is used in violation with these Terms or if it otherwise deemed necessary in Humphree AB’s sole discretion.


3. No Guarantees or Warranties

3.1 The Portal and its content are provided on an “as is” basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Humphree AB will use reasonable efforts to ensure the accuracy and reliability of the Portal but makes no representations or warranties that the service will be error-free, uninterrupted, or without delay or about the completeness, accuracy, or reliability of any content or information contained in the Portal.
3.3 All services offered on the Portal are subject to change and non-binding, unless expressly stated otherwise. Parts of the Portal and/or the entire offer may be changed, supplemented, deleted or finally discontinued without separate notification.
3.4 Humphree AB makes no guarantees regarding the availability of the Portal. Humphree AB has the right to remedy any errors in the Portal within the scope of its maintenance.
3.5 The Customer must implement proper safeguards to ensure that Humphree AB is not infected by viruses, worms, trojans and/or other harmful data, no matter what the Customer is using.
3.6 The information published on the Portal may include information on and references to Humphree AB’s products, services, etc. which are not available in your country. The accuracy of this information cannot be guaranteed as the information is bound by changes, specific conditions or its availability. Therefore, it must not be assumed from these references that Humphree AB is intending to register these products, services, etc. for your country.


4. Intellectual Property

4.1 All intellectual property rights related to the Portal, the information there on and Humphree AB’s products, including patents, trademarks, copyrights, and other proprietary information, are the property of Humphree AB or its licensors.
4.2 The information on this Portal, including – but not limited to – text, images, software and audio material, must not be reproduced, modified, distributed, displayed or stored without the prior written permission of the Humphree AB, unless expressly stated otherwise. Users and third parties are expressly forbidden to make changes to the content of the website.


5. Limitations of Liability

5.1 Humphree AB will not be liable for any direct and/or indirect losses arising due to the use of or inability to use this Portal, including but not limited to loss of profits, business interruption or loss of any data, security breaches or any other issues relating to the Portal, even with specific reference to the possible occurrence of these losses.
5.2 Humphree is not liable for damage that may affect the User or third parties which is caused by i) the User’s use of the Portal in violation of these Terms, ii) viruses, other detrimental software or errors in the technology, or iii) loss of data or data confidentiality in connection with the transmission of information through mobile or local network during use of the Portal.
5.3 Humphree is not liable for faults due to that the User’s hardware, software or network connection is incompatible with the technical requirements of the Portal.


6. Personal data

6.1 Humphree AB is a data controller in relation to the User for the personal data that Humphree AB processes in order to enable registration of an account on the Portal, to administer the purchases, provision of information etc.
6.2 The User receives information about how Humphree AB processes personal data through Humphree AB’s privacy policy applicable from time to time and provided in connection with the registration of the user account. For more detailed information we advise to see our privacy policy.


7. Dispute Resolution

7.1 Any dispute, controversy or claim arising out of or in connection with the use of the Portal, these Terms, or the breach, termination or invalidity thereof, shall be finally settled by arbitration administered by the Arbitration Institute of the Stockholm Chamber of Commerce (the “SCC”). The seat of arbitration shall be Gothenburg, Sweden. The language to be used in the arbitral proceedings shall be English. This Agreement shall be governed by the substantive laws of Sweden.
7.2 The Rules for Expedited Arbitrations shall apply, unless the SCC in its discretion determines, taking into account the complexity of the case, the amount in dispute and other circumstances, that the Arbitration Rules shall apply. In the latter case, the SCC shall also decide whether the Arbitral Tribunal shall be composed of one or three arbitrators.
7.3 Notwithstanding the above, Humphree AB may, at its discretion, institute proceedings before any court of general or special jurisdiction or before any other judicial body of competent jurisdiction, in order to seek preliminary injunctive relief to secure its rights.
7.4 The Parties undertake, without any limitations in time, not to disclose the existence and content of an award arising out of or in connection with this Agreement, nor to disclose information about negotiations, arbitrational proceedings or mediation arising out of or in connection with this Agreement. The aforementioned shall apply unless otherwise is provided by law, other regulations, decisions by an authority, stock exchange rules or good practices in the stock market or if it is necessary for the execution of an award.


8. Changes to the T&C

8.1 Humphree AB reserves the right to update or modify these T&C at any time. Users will be notified of any changes to the T&C through the Portal.
8.2 Continued use of the Portal following any updates or modifications to the T&C constitutes acceptance of the revised terms.


9. Miscellaneous

9.1 If any provision of these T&C’s is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
